Terms of Service

1. Acceptance of Terms

By accessing or using SecureLeads (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including insurance agents, agencies, and other sales professionals who register for an account.

2. Description of Service

SecureLeads provides an SMS follow-up automation platform that allows businesses to send automated text messages to their leads and clients. The Service includes tools for managing contacts, creating message sequences, scheduling follow-ups, and tracking communication history.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service, you represent and warrant that you meet these requirements.

4. SMS Messaging — Your Responsibilities

You are solely responsible for all SMS communications sent through the Service. By using SecureLeads to send SMS messages, you agree to:

• Obtain all required prior express written consent from recipients before sending marketing or promotional SMS messages, as required by the Telephone Consumer Protection Act (TCPA) and applicable regulations.
• Maintain accurate records of consent obtained from all contacts you upload or add to the platform.
• Honor all opt-out requests immediately. Recipients who reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT must not receive further messages.
• Not send messages to individuals on the National Do Not Call Registry unless you have a pre-existing business relationship or written consent.
• Comply with all applicable federal, state, and local laws governing SMS marketing, including the TCPA, CAN-SPAM Act, and carrier guidelines.
• Not send spam, fraudulent, misleading, or illegal content.

SecureLeads is a platform provider and does not independently verify the consent status of your contacts. You bear full legal responsibility for ensuring compliance with applicable SMS marketing laws.

5. Prohibited Uses

You may not use the Service to:

• Send unsolicited messages (spam) to individuals who have not given consent
• Impersonate any person or entity or misrepresent your affiliation
• Transmit harmful, threatening, abusive, or illegal content
• Violate any applicable law or regulation
• Attempt to circumvent the Service's opt-out mechanisms
• Resell or sublicense the Service without prior written authorization
• Reverse engineer, decompile, or otherwise attempt to extract source code

6. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at secureleadz@gmail.com if you suspect unauthorized access to your account.

7. Payment and Billing

Access to the Service requires a paid subscription. Billing is processed monthly through Stripe. You agree to provide accurate billing information and authorize us to charge the applicable subscription fees to your payment method.

Subscriptions automatically renew each month unless canceled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support. No refunds are issued for partial months.

We reserve the right to change pricing with at least 30 days' written notice to your registered email address.

8. SMS Usage Limits

Each subscription plan includes a monthly SMS allowance as described on our pricing page. Messages are counted at the time of delivery. If you exceed your plan's limit, messaging may be paused until the next billing period or you upgrade your plan.

9. Intellectual Property

SecureLeads and its licensors retain all rights, title, and interest in the Service, including all software, designs, and content. You retain ownership of all content you create, including message templates and contact data. By using the Service, you grant us a limited license to process your content solely to provide the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECURELEADS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless SecureLeads and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law, including any TCPA claims arising from SMS messages you sent through the platform.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms, failure to pay, or if we determine your use poses legal or reputational risk. Upon termination, your access to the Service will cease and your data will be deleted within 90 days as described in our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
